In the course of economic activity, company leaders can change the legal address or type of activity, increase the authorized capital, rename the organization. Amendments to the constituent documents must be properly drawn up, that is, all the necessary documents must be signed and submitted to the tax office for further registration.
All information about the organization is stored in the Unified State Register of Legal Entities (USRLE). Therefore, all changes related to the company's activities should be registered with the tax office. But before doing this, it is necessary to amend the constituent documents.
Change of legal address
To change the legal address, you need to hold a meeting of founders and resolve the issue that concerns the location of the company. The decision of the meeting participants is drawn up in the form of minutes. This document must be certified by a notary.
A month before submitting an application for a change of address to the tax office, you must order an extract from the Unified State Register of Legal Entities. This document is also included in the package of documents for registration of changes.
Fill out the application form # P13001, but do not sign it. Your signature must be certified by a notary. Make copies of all constituent documents (charter, certificate of registration and TIN assignment).
Also, you must provide a lease agreement or a certificate of ownership to the tax authorities. Pay the state fee for registration of changes (800 rubles). Take all of the above documents to the Federal Tax Service. Within 5 working days you will receive an extract from the Unified State Register of Legal Entities.
If the tax office changes with the change of the legal address, you need to deregister the company in one office and register in another. In this case, in addition to an extract from the Unified State Register of Legal Entities, you will receive a new certificate of registration and TIN assignment.
Important: notify off-budget funds about the change of legal entity, for this, fill out an application.
Increase the authorized capital
First of all, you must make a decision to increase the authorized capital. To do this, hold a meeting of shareholders. Draw up the results in the form of a protocol, in this document you must indicate the amount of the additional contribution and the method of increasing the fund.
Draw up a new version of the charter. You can rewrite it completely, or you can make changes by filling out an additional sheet. Make a copy of the financial statements for the last year, certify it with the seal of the organization and the signature of the head.
Pay the state duty at any branch of Sberbank. Fill out an application in the form №Р13001 or №Р14001, sign it in the presence of a notary. Submit your documents to the tax office.
Important: amendments to the constituent documents should be made no later than a month after the minutes of the meeting are drawn up.
Organization name change
As in the previous cases, you must hold a meeting of founders, but the agenda will sound like this: "Change the name of the organization." Draw up the decision in the form of a protocol.
Draw up a new edition of the charter. Fill in applications No. Р13001 and No. Р14001, certify them with a notary. Pay the state fee at the bank. Submit all documents to the tax office. Get an extract from the Unified State Register of Legal Entities, a certificate of registration and assignment of a TIN at the Federal Tax Service within 5 working days after submitting an application.
Amendments to the constituent documents should be accompanied by the re-execution of contracts with counterparties or the preparation of additional agreements.
