Own business is the key to a successful life. Only now, during entrepreneurial activity, there is a need to protect yourself legally. This can be done using the Charter, which the company must submit to the authorities at the time of registration. If you want to change something in the organizational structure of your company, you must also go through the "re-registration" procedure.
Instructions
Step 1
On July 1, 2009, several amendments were made to Russian legislation. In this regard, all individual entrepreneurs were forced to go through the “re-registration” procedure, which implies amending the company's charter.
At first glance, there is nothing complicated about the "re-registration" of a company. However, you must be sure that you have filled in the Articles of Association correctly.
Step 2
According to Clause 4, Clause 12 of the Federal Law "On Limited Liability Companies", any changes to the Charter must be made as a result of a meeting of all participants. After that, register your solution with the special authorities. Only now do these adjustments take effect for the people around you. You are also obliged to register changes to the Charter with the tax office, about which the residents of Russia are informed by the Federal Law of the Russian Federation No. 312-FZ.
Step 3
Prepare all the required documents before completing the Articles of Association. Otherwise, you will have to go through this procedure again. All papers requested by the registering authority are described in Article 17 of the Federal Law "On State Registration of Legal Entities and Individual Entrepreneurs". This list includes the following documents:
Step 4
Application form for state registration, which must be signed by the applicant himself. This document must contain confirmation of all the changes that you plan to make to the Charter of the company, as well as information about the type of business activity. Wait until this documentation is approved;
Step 5
The decision of the general meeting of participants of a limited liability company on the introduction of certain amendments to the Charter;
Step 6
Receipt for payment of the state fee provided for the state registration of the company. The amount of this payment does not exceed 400 rubles.
Step 7
In most cases, the registration authority also needs additional data. In particular, make a photocopy of the new Charter, or prepare a separate document containing all changes made to the Charter. Write a letter addressed to the registering authority, in which you can freely state your request to receive a copy of the Articles of Association certified by the tax authority.
