By law, all changes made to the constituent documents of companies must be registered. Registration consists in drawing up the changes themselves, preparing a certain package of documents and submitting them to the registering authority (tax office).

Instructions

Step 1

Determine the body that should register changes to your company's articles of association. If your company is registered in Moscow, then it will be tax office No. 46 (IFTS No. 46).

Step 2

Pay the state fee to make the changes. In accordance with clause 3 of clause 1 of article 333.33 of the Tax Code, it is 20% of the state fee for registering a company. Thus, it is 800 rubles (20% of 4000 rubles).

Step 3

Prepare a set of documents for registration. In addition to the changes themselves, it must include a decision on amending the charter, a receipt for payment of the state fee, an application for state registration of changes signed by the applicant. The authenticity of the applicant's signature must be notarized.

Step 4

Submit the above package of documents to the tax authority. By law, this can be done both in person and by mail (a letter with a declared value and a list of attachments). It is better to do it in person - so the likelihood of losing your documents will be less. However, you should prepare yourself for a long wait in line at the tax office.

Step 5

Changes to the charter must be registered within 5 working days. The fact that they have been registered, a corresponding entry is made in the Unified State Register of Legal Entities (USRLE). After 5 business days, you will need to obtain a certificate confirming the fact of making such an entry.
