According to Federal Law No. 312-FZ, all changes to the company's charter must be registered with the tax office. The heads of companies can change the name of organizations, legal address, the size of the authorized capital, founders - all this should be recorded in the charter.
Instructions
Step 1
Before making changes, you, as a leader, should hold a meeting of founders, at which you decide whether it is worth correcting some of the data. Record the results in the form of a protocol or solution. Here you must indicate which item is to be changed. The document is signed by all participants of the meeting.
Step 2
Draw up a new version of the charter or put the changes on a separate sheet, that is, rewrite the paragraphs or conditions.
Step 3
Fill out an application for state registration of changes (form R-13001). On the first sheet, indicate the data of the organization, that is, the name, registration number, TIN, KPP.
Step 4
Check the boxes where changes have been made, for example, the name of the organization has changed. Open the sheet indicated in paragraph for further filling, for example, when changing the name, you need to fill out sheet A.
Step 5
Indicate below: in what form the changes in the constituent documents were provided (in a new edition or in the form of changes). Having opened the required sheet, enter the new edition. For example, if changes have occurred in the name of the organization, indicate the name in Russian, in English. Then go to page 20 and fill in the applicant information. Here indicate the name of the applicant, his passport details, the actual address of the place of residence.
Step 6
Go to page 21. Enter your contact details here, sign in the presence of a notary. After that, he must assure her.
Step 7
In any branch of the Savings Bank of Russia, pay the state duty for changes in the constituent documents. After that, fasten all the documents together and take them to the registering authority - the tax office.
