Step 1
It is necessary to draw up an application in the established form R11001 for state registration of a legal entity dated June 19, 2002. No. 439. A black gel pen is used for this. You need to fill in neatly, in printed type, without going beyond the squares.
Step 2
In the application, indicate the OKVED codes for the main types of activity, indicate the amount of the authorized capital, attach a copy of the payment order for making contributions to the account of the legal entity. If the contribution is paid in property shares, there must be appropriate documents for the title.
Step 3
It is also necessary to attach the decision of the general meeting of the Participants on the opening of a legal entity, certified by a notary. The minutes of the general meeting must be laced, numbered and sealed and signed by a representative of the legal entity.
Step 4
Attach to the package of documents copies of passports of all members of the LLC, General Director, Chief Accountant, as well as copies of documents to the legal address (either a lease agreement or a certificate of ownership).
Step 5
Draw up the Articles of Association of the Company and attach to the package of documents its notarized copy in a stitched, laced and numbered form.
Step 6
Draw up the Memorandum of Association of the Company and also attach a copy of it to the package of documents, bound and numbered, certified by a notary.
Step 7
The compiler of the application must confirm that the submitted constituent documents and information in them are reliable, that when the organization was created, the procedure established by law was observed, that the payment of the authorized capital was also in accordance with the law.
