Step 2

Have a general meeting of founders where you decide on changes. Draw up the decision in a protocol, which must be signed by all meeting participants (founders). Receive from the tax office, your registering authority, an application form for registration of amendments made in the form R13001 “Application for state registration of amendments to the constituent documents of a legal entity”. Please fill it out, but do not sign. If the number of sheets of the application is more than one, they must be numbered and laced up.

In the presence of a notary, sign the application for state registration. Assure him of the decision of the general meeting to amend the constituent documents and the amended documents themselves. Attach a receipt for payment of the state duty and submit the package of these documents to the tax office for their registration in the Unified State Register of Legal Entities. Be sure to make a list of documents, on which the office of the tax inspectorate must put a note that they are accepted and the date of admission. The term for processing and registering changes is 5 working days.
