The economic activity of the company is always associated with certain changes, whether it is an increase in the authorized capital or a change of legal address. According to the current legislation, all changes must be registered with state authorities. To avoid unnecessary problems, it is very important to make changes to the constituent documents correctly.

Necessary

  • The decision to make changes;
  • new edition of constituent documents;
  • completed forms for the tax authority;
  • documents confirming the changes made;
  • payment of state duty.

Instructions

Step 1

The constituent documents of the company contain important information about the company. Therefore, all data is stored in the Unified State Register of Legal Entities, which means that any changes must be properly registered with the tax authority. It should be noted that not all changes entail changes to the constituent documents. For example, the change of the Director of the company must also be registered, but does not affect the constituent documents.

Step 2

Mandatory amendments to the constituent documents entail the following cases:

- renaming of the company, - an increase or decrease in the authorized capital, - change of activities, - change of legal address

- any changes to the text of the constituent documents.

Step 3

To make changes to the constituent documents, it is necessary to prepare a new version of the Charter of the company, which will reflect the changes being made. At the same time, remember that in order to approve the new version of the Charter, the members of the company must prepare a decision or protocol confirming the sought changes in the company and approving this version. That is, the new version of the Charter is created on the basis of the decision of the participants in the company.

Step 4

To submit documents to the tax office, you must fill out the forms established by the tax authority. Such forms must be notarized by the person submitting documents for registration of changes. Documents confirming the changes made to the constituent documents are submitted by the person authorized for this action to the relevant tax authority. The list of documents required to confirm a specific type of change is contained in the Federal Law “On State Registration of Legal Entities”.

Step 5

If all changes to the constituent documents are drawn up correctly and supported by the necessary documents, the tax service accepts them for consideration, after which, on the seventh working day after submission, you will be able to receive a registered new edition of your constituent documents.
