Step 1

Gather a board of participants. Draw up minutes at the meeting of the founders. Put on the agenda the possibility of amending the constituent documents. Indicate which clauses of the charter, other constituent document have changed. Verify the protocol with the signatures of each participant.

Step 2

Under the sole founder of the company, a sole decision is drawn up. The document is signed by the participant, certified by the seal of the company. The substantive part of the decision indicates a list of changes that should be made to the constituent documents of the organization.

Step 3

Make a statement. Use the p13001 form for this. On the first page of the special form, enter the name of the company (if there is a renaming, indicate the old name). Enter TIN, KPP, PSRN, as well as the address of registration of the enterprise.

Step 4

When making changes in connection with the renaming of the company, fill out sheet A of the application, where enter the old and new name of the company. If the address of the location of the organization changes, enter the previous and current address on sheet B. When the amount of the authorized capital changes, sheet B is filled in, which indicates the amount by which the joint (authorized) capital has changed.

Step 5

Write a document in which you write the text and the date of the decision to make changes. When renaming, specify the old, new name. When changing the authorized capital, indicate the amount by which it changed, as well as the reason why this happened.

Step 6

Pay the state fee. A receipt or bank statement confirming the fact of payment of the fee, a completed application, a protocol (decision), as well as the text of the changes, should be submitted to the registering authority. Within five working days you will be given a certificate with a new name, address or other details that have changed.
