Step 1

Step 2

Prepare an order granting the CEO an indefinite leave at your own expense. The order must contain the number, date of issue, the fact of granting the leave and the date of its beginning, the basis for issuing the order (statement of the general director). The order is signed by the CEO himself and certified by the company seal.

Step 3

Prepare an order for the appointment of a person who replaces the CEO during his vacation and has the right to sign without a power of attorney. This can be any employee or founder of the firm.

Step 4

Use the alternative option if the CEO is also the founder of the firm. In this case, an employment contract may not be concluded with him, and his powers are confirmed by the Charter of the company and the corresponding decision of the sole founder or the general meeting, if there are more than one. In this case, simply do not enter into an employment contract with him. In the event that the firm conducts business and makes a profit from it, the CEO who is the founder may receive dividends as remuneration.
