Step 1
To register an LLC, it is necessary to decide in advance on the future activities of the enterprise. This should be reflected in the application for registration of the LLC, however, as well as the proposed legal address of the future enterprise. The latter may be the address of the premises that the businessman rents for his enterprise, as well as the address of permanent registration of the general director of the LLC or one of its co-founders. To open a business, you will need to submit a letter of guarantee from the owner of the leased premises, as well as a copy of the certificate that the businessman has ownership of the lease address.
Step 2
The next document, which cannot be dispensed with when opening a limited liability company, is the decision on the establishment (or the protocol in the event that there are several founders of the company). This document must contain information about the authorized capital of the enterprise, the presence of which is mandatory for opening an LLC. The minimum amount of this capital must be 10 thousand rubles.
Step 3
The founder or founders of an LLC will have to draw up the charter of their enterprise; an approximate sample of this document can be obtained from the Federal Tax Service. In the event that two or more people are involved in the opening of an enterprise, it will be necessary to draw up an agreement on the establishment of an LLC, which will spell out the nuances of joint work - for example, what happens if one of the partners decides to leave the business.
Step 4
All documents will need to attach a receipt for payment of state duty for opening a limited liability company. If a businessman plans to use a simplified taxation system, he will have to submit a corresponding application.
Step 5
In the event that the registration of an LLC is carried out in Moscow, one cannot do without a receipt for payment of state duty for issuing a copy of the company's charter. The collected package of documents must be submitted to the Federal Tax Service, which will have to register the enterprise within five working days or refuse registration, providing an appropriate justification.
