Step 1

We are developing a regulation on the branch, the title and content of the chapters of which is approximately the following:

- general provisions;

- terminology and abbreviations used in this regulation;

- goals and objectives of the branch;

- branch functions;

- branch financing;

- the operating procedure of the branch;

- the procedure for opening a branch;

- branch rights;

- the rights and obligations of the organization in relation to the branch;

- branch management;

- control over the activities of the branch;

- property, accounting and reporting of the branch;

- liquidation of the branch.

Step 2

We are developing changes to the charter of the organization by adding to this constituent document such an approximate phrase as:

1.14. Example Limited Liability Company has the following branch:

1.14.1. Full name: Krasnodar Regional Branch of the Primer Limited Liability Company.

Abbreviated name: Krasnodar Regional Branch of Example LLC.

The address of the location of the branch: 353346, Krasnodar Territory, Krymsky District, Sauk-Dere settlement, Vymyshlennaya Street, 1"

Step 3

We call and hold a general meeting of shareholders (participants), the agenda of which should include the following issues:

- election of the chairman and secretary of the general meeting of shareholders (participants);

- opening a regional (regional, republican or other) branch and determining its location;

- approval of the regulations on the branch;

- amendments to the charter of the organization in connection with the opening of a branch.

Step 4

We download from the official sites of the legal reference systems "Garant" or "Consultant Plus" an application for state registration of changes made to the constituent documents of a legal entity (form No. Р13001). In this document, it is necessary to fill in page 1 (paragraphs 1.1.-1.3. Section 1), page 1 of Sheet "K" (section 1, section 2, paragraphs 3.1.-. 3.2. Section 3), all pages of sheet "M" (except section 5, which is completed by the notary).

Step 5

We pay the state fee in the amount of 800 (eight hundred) rubles.

Step 6

We transfer a set of documents, which includes 1 copy (2 for non-profit organizations) of the minutes of the general meeting of shareholders (participants), 2 copies of the regulations on the branch (3 for non-profit organizations), form No. R13001 certified by a notary, 2 copies of the new version of the charter (3 for non-profit organizations) and a receipt for payment of the state duty to the relevant tax office.

Step 7

After successful registration of changes to the constituent documents of the organization, we issue a power of attorney to the head of the branch to exercise the following terms of reference:

- management of the branch;

- opening of settlement, currency and other accounts of the branch;

- hiring and dismissing employees of the branch;

- representing the interests of the organization in government and other bodies, organizations and in relations with any other persons;

- take part in any court cases related to the activities of the branch;

- carry out other legal and other actions related to the goals and subject of the branch, which the organization deems necessary;

- transfer the powers provided for by the power of attorney in whole or in part to other persons by way of transfer.
