Laws regulating state registration

State registration is a confirmation that the company was established in accordance with the rules established by law, has the necessary authorized capital, constituent and title documents. Without this official confirmation, the activity of the enterprise is illegal and it will not be able to register with the tax office or open a bank account.

The procedure and rules for formalizing state registration are regulated by the Federal Law “On State Registration of Legal Entities and Individual Entrepreneurs”, as well as Article 51 of the Civil Code of the Russian Federation “State Registration of Legal Entities”. This registration is carried out by the territorial tax authority to which the given enterprise belongs at its legal address.

The package of documents is provided on paper and, if possible, in electronic form.

Documents required for state registration

In order to obtain a certificate of state registration, an enterprise must submit the following package of documents to the tax office:

- application for state registration, which confirms that all submitted documents meet the established requirements; the information indicated in them is reliable; the organization was created in compliance with all requirements for the form of ownership chosen by it and other information confirming compliance with the current rules;

- a document on the creation of this enterprise - a legal entity, drawn up in the form of a decision of the general meeting of founders, a protocol or an agreement;

- originals or notarized copies of constituent documents;

- a receipt or other payment document confirming the payment of the state fee for the registration of a legal entity.

The certificate is sent to the address of the enterprise or handed over to its representative no later than one working day from the moment of state registration.

Documents confirming state registration

Not later than 5 days after the submission of documents to the registering authority, they must make a decision on state registration, which is the basis for making an entry and information about the enterprise in the Unified State Register of Legal Entities - Unified State Register of Legal Entities. As soon as such a record is made, the enterprise from that moment is considered to have passed state registration. This fact is confirmed by the Certificate of state registration of a legal entity, drawn up on an official letterhead in the prescribed form.
