It is possible to transfer an employee to the position of general director by a decision of the founders in the form of a protocol. Step 1
If the company has several founders, a council of participants should be assembled, where to put on the agenda the possibility of transferring a certain employee to the position of director. The decision must be drawn up in the form of a protocol in which the personal data of the employee, his personnel number, the position held and the name of the service (department) where he works, must be entered. The document must be dated, numbered, and also certified by the signatures of the chairman and secretary of the constituent assembly (indicating their names, initials).
Step 2
When there is one participant in the enterprise, he has the right to draw up a sole decision on the transfer to the position of the head of the organization, for example, a commercial director. The only founder must certify the document with his signature and the seal of the company.
Step 3
Since the work function of an employee transferred to the position of the sole executive body changes significantly, an additional agreement should be concluded to the agreement (contract) with a specialist. The salary, additional payment, bonus, job title, as well as the list of job responsibilities must correspond to the salary and job functions of the director, prescribed in the staffing table and instructions. As a rule, a contract (agreement to him) is drawn up with the manager for a specific period (from one to 5 years). Indicate the period of its validity in accordance with the charter, other constituent document, which contains the conditions for admission of the first person of the enterprise. Verify the agreement, where on the part of the employer the chairman of the board of founders (the only participant) has the right to sign, on the part of the employee - the specialist transferred to the position of the general director.
Step 4
In the second section of the personal card of the transferred employee, make a mark, and in the work book, make an entry about the transfer, the basis of which is the minutes of the constituent assembly (sole decision). Indicate the number and date of the document in the fourth column. Moreover, it is not necessary to certify the translation record with a seal; such certification should be carried out in case of dismissal.
