Corporate law is the main specialization of a lawyer in a consulting organization. In addition, corporate lawyers are in demand in joint stock companies. Let us consider in this article the algorithm of the work of a lawyer of this specialization on the example of amending the constituent documents of an organization.
Instructions
Step 1
First, we carefully study all the existing constituent (charter, provisions) and other documents of title (decisions, orders, protocols) and determine which data should be changed and in which document it should be reflected.
Step 2
Secondly, we prepare a draft of amendments to the constituent documents, pay the state fee and certify the applicant's signature with a notary. As a general rule, the head of the organization acts as the applicant.
Step 3
Thirdly, by notarial power of attorney, we submit a full set of documents to a state body - a territorial body of the Federal Tax Service or the Ministry of Justice of the Russian Federation and receive a receipt confirming the acceptance of documents.
Step 4
Fourthly, on the website of the Federal Tax Service in the electronic service "Business Risks: Check Yourself and the Counterparty", we track information about the positive or negative result of the submission of documents. With a positive decision of the registering authority, we receive from the territorial body of the Federal Tax Service or the Ministry of Justice of the Russian Federation the constituent documents of the legal entity in a new edition and the entry sheet of the Unified State Register of Legal Entities.
