In business and legal practice, changes in the name and address of a limited liability company are quite common. Let's consider in a nutshell the procedure for filling out forms when changing the name or address in the charter of an LLC, or other legal entity.
Instructions
Step 1
For state registration of amendments to the constituent documents of a legal entity, there is a new form P13001. Form P13001 consists of an application, which is one page, and the appendix to the application is sheets A-H. Form Р13001 contains items in which information must be entered to identify the legal entity by the state registration authority. The form also contains a list of items in which you will need to make the changes you are interested in in the charter of the LLC.
Step 2
Fill out the R13001 form and when submitting documents for changing the charter of an LLC, file it to the annexes with a detailed description of the changes. Please note that in this case, the pagination of both documents must be continuous. The number of sheets is certified by a notary, whose seal must be on the stitching of your application for changing the charter of the LLC.
Step 3
In the information about the legal entity, indicate exactly the details of the company in accordance with the register of legal entities. Fill in the subparagraphs in strict accordance with the extract from the Unified State Register of Legal Entities. If you want to change the name of the LLC, then in subparagraph 1.1 "Full name in Russian" write its former name, according to the extract from the Unified State Register of Legal Entities.
Step 4
Item 2 in the new R13001 form is entitled “Changes to be made to”. The information recorded here designates the appendix sheets that you must complete to complete the changes. For example, when changing the name, put a tick next to subparagraph 2.1, and then fill out sheet A "Information on the name of the legal entity." This sheet consists of several items. The first indicates the organizational and legal form of a legal entity. In paragraph 2, be sure to fill in subparagraph 2.1: "name of the company in Russian".
Step 5
Write here the new name of your LLC (if we are talking about this type of enterprise). Only in these paragraphs indicate the new name of the company, and in all the rest - the old one, according to the extract from the Unified State Register of Legal Entities. Fill in subsections 2.2 and 2.3 as necessary. If the address of the company is changed, then a tick is put in subparagraph 2.2 and Sheet B is filled in, entitled "Information about the address (location)".
