Step 1
Develop a document outline. The charter of a legal entity should be carefully thought out; it should try to take into account all possible nuances of the further existence of a legal entity. When developing this document, special attention should be paid to relations with partner organizations, government agencies, as well as within the team of a legal entity.
When developing the charter, take into account the requirements of laws and regulations in the field of activity of the legal entity, taking into account the latest changes and updates, the interests of the members of the organization and its founders, and the specifics of the organization's activities.
Step 2
Develop parts of the document: a preamble, which contains the reasons for the registration of this charter, the details and name of the company, its purpose and mission, the main part - general provisions about the organization, such as working hours, staff, number, hiring and dismissing employees, organizing vacations, interaction with third party companies, reorganization and liquidation, etc.
Step 3
In the charter, be sure to reflect information on the methods of financing and authorized capital, on the management procedure and hierarchical structure, on the inclusion of new participants in the organization and withdrawal from it. If the organization's activities are aimed at making a profit, it is also necessary to prescribe the procedure for distributing profits within the organization. In addition, any information necessary from the point of view of the founders that does not contradict the legislation of the Russian Federation can be additionally included in the charter.
Step 4
Agree the draft charter with each founder, if there are disagreements, draw up a protocol and bring the charter for general discussion. After reaching a consensus, make changes and re-submit to the founders for signature.
Register the charter under the first number in the document journal.
Step 5
Submit the developed document in a sewn form for registration to the tax office, where it remains for storage. An organization can get its hands on a copy of its registered articles of association upon request.
