The entry of a new member is possible in the form of a sale of his share by one of the old members of the company, or in the form of an increase in the authorized capital, at the expense of a contribution. Instructions

Step 1

To enter a new participant in an LLC, you must receive an application from him in any form, which must indicate the amount of the contribution, the procedure for making it and the size of the share in the authorized capital.

Step 2

Next, you need to hold a general meeting of the company's participants, at which to decide on the entry of a new participant into the founders. Following the results of this meeting, a protocol should be drawn up, which spells out the following issues: the possibility of a participant entering the company, increasing the authorized capital due to his contribution, the procedure for contributing funds or property to a part of the authorized capital of the company, amendments to the charter of the organization.

Step 3

Fill out an application on Form 13001, indicate the new amount of capital on sheet B, as well as on sheet L the size of the participants' shares. You also need one more application in the form 14001, where indicate the data of all members of the company (newly included and already existing) with new sizes of shares in the authorized capital.

Step 4

Prepare the following documents for submission to the registering authority: applications in the form 13001, 14001; minutes of the general meeting of participants; changes to the charter or its new edition; changes to the memorandum of association (new memorandum of association); a receipt for payment of the state fee in the amount of 800 rubles; documents on making a contribution to the authorized capital by a new participant (a bank receipt if the contribution is in monetary terms or an appraiser's report if property is invested).

Step 5

All changes made to the charter and the memorandum of association are valid for third parties only after state registration.
